摘要

随着经济全球化的进一步深入,国际竞争的日益加剧,公司收购兼并和资产重组活动日益频繁,我国加入WTO后,也掀起了跨国并购的高潮。著名市场研究机构汤姆逊金融公司发布的一份报告表明,中国已经是连续第三年成为亚洲并购最多的国家。中石化、中石油等大型企业都展开了大规模并购,中海油、海尔集团、万向集团等也开始积极拓展国际市场。联想收购IBM,TCL收购法国汤母逊公司等事件都表明了我国已经开始了尝试并购为主体方式的国际化行为。与此同时,中国企业并购的结果却不尽人意。如中海油并购尤尼克的失败、海尔在美泰克的并购中的失利、TCL收购法国汤姆逊旗下的彩色电视业务及阿尔卡特手机业务后的巨额亏损。面对这些失败,国内许多企业家已经怀恐慌的心态面对跨国并购。

在此背景下,写者怀着一颗共同探讨、共同研究的心态谈谈跨国并购的风险以及防范措施,让更多人了解跨国并购过程中的风险因素。

ABSTRACT

With the further deepening of economic globalization and increasing international competition, corporate mergers and acquisitions and asset restructuring activities have become increasingly frequent, with the Chinese accession to the WTO, also set off cross-border M & a climax. Well-known market research firm Thomson Financial company issued a report showed that China is already the third consecutive year as Asia's largest country in mergers and acquisitions. In addition to the petrochemical, CNPC、CPCC and other large enterprises to large-scale mergers and acquisitions, CNOOC, Haier Group, Wanxiang Group also began actively expand the international market. Such as the Lenovo’s purchase of IBM, TCL's acquisition of France-the mother company indicated that our country has already begun trying to purchase as the main mode of international behavior. At the same time, the result of mergers and acquisitions of Chinese enterprises were not very well. CNOOC's acquisition of Maytag failed, Haier withdraw from the Maytag acquisition, TCL acquired the French Thomson's color TV business and Alcatel mobile phone business but the 05 first-quarter loss amounted to 32.7 billion RMB . Faced with these failures, many domestic entrepreneurs have been fear faced with the mentality of cross-border mergers and acquisitions.

In this context, to write with a jointly explore, to study the mentality of talking about the risk of cross-border mergers and acquisitions and preventive measures so that more people understand the process of cross-border M & risk factors. 【KEYWORDS】Transnational mergers and acquisitions risk Precautions Countermeasures
