PAYMENT THE BUYER SHALL OPEN AN IRREVOCABLE L/C IN

FAVOR OF THE SELLER BEFORE DECEMBER 15TH, 2009. THE L/C SHALL BE PAYABLE AT SIGHT FOR FULL INVOICE VALUE AND REMAIN VALID FOR NEGOTIATION IN CHINA FOR 15 DAYS AFTER SHIPMENT.

买方须在2009年12月15日，开立一个不可撤销的信用证，受益人是卖方。而且应该是全部金额的即期付款的信用证，并装船后的15天以内，在中国议付仍然有效。

Remarks:

1. Under L/C payment terms, the Buyer shall have the covering letter of credit reach the Seller 30 days before shipment, failing which the Seller shall reserve the right to rescind without further notice, or to regard as still valid whole or any part of this contract not fulfilled by the Buyer, or to lodge a claim for losses thus sustained, if any.

在信用证付款条件下，买方应将信用证装船前30天寄送给卖方，否则卖方有权撤销合同，可不另行通知，或视为买方全部或部分不履行合同，如因此遭受损失卖方可向买方提出索赔。

2. In case of any discrepancy in quality, claim should be filed by the Buyer within 30 days after the arrival of the goods at the port of destination; while for quantity discrepancy, claim should be filed by the Buyer within 15 days after the arrival of the goods at the port of destination.

在任何质量差异的情况下，索赔应提交由买方在货物抵达目的港后30天内，数量异议时，应索赔申请之日起15日内到达后由买方货物在目的港。

3. For transactions concluded on C.I.F. basis, it is understood that the insurance amount will be for 110% of the invoice value against the risks specified in the Sales Confirmation. In case of additional insurance amount or coverage required by the Buyer, the Seller’s consent should be acquired before shipment, and the additional premium thus incurred shall be borne by the Buyer.

交易结束对到岸价格的基础上，据了解，保险金额将用于对指定的销售确认的风险发票价值的110％。额外的保险金额或由买方需要覆盖的情况下，卖方同意应在装运前收购，并由此产生的额外保险费应由买方承担。

4. The Seller shall not be hold liable for non-delivery or delay in delivery of the whole or any part of the contracted goods by reason of natural disasters, war or other causes of Force Majeure. However, the Seller shall notify the Buyer as soon as possible and furnish the Buyer within 15 days by registered airmail with a certificate issued by the China Council for the Promotion of International Trade attesting such event(s).

卖方不得持有非交货或延迟交付的整个或自然灾害的原因，本合同项下货物的任何部分责任，战争或其他不可抗力的原因。但是，卖方应尽快通知买方，并为促进国际贸易，证明此类事件（S）由中国国务院发出证书之日起15日内提供航空挂号买方。

5. All disputes arising out of the performance of, or relating to this contract, shall be settled through negotiation. In case no settlement can be reached through negotiation, the case shall then be submitted to China International Economic and Trade Arbitration Commission for arbitration in accordance with its arbitration rules. The arbitration shall take place in Beijing of China. The arbitral award shall be taken as final and binding upon both parties.

所产生的表现，或与本合同有关的一切争议，应通过谈判加以解决。没有解决的情况下，可以通过谈判达成的，案件应提交中国国际经济贸易仲裁委员会仲裁，按照其仲裁规则。仲裁应在中国北京举行。应采取的仲裁裁决为终局裁决，对双方都有约束力

6. The Buyer is requested to duly sign and return one copy of this contract made in two originals, or shall be deemed as to have accepted the terms and conditions of this contract, unless any objections be raised within 2 days after receipt of them.

买方要求正式签署并交回本合同正本两份副本，或应被视为已接受本合同的条款和条件，除非他们收到后2天之内提出任何异议

7. Special conditions (which shall prevail over the relevant terms printed above in case of conflict): 特殊条件（上面印有冲突的情况下有关条款为准）：

7.1 It is mutually agreed that the certificate of quality/ quantity issued by China Entry and Exit Inspection and Quarantine Bureau shall be regarded as final and binding upon both parties．

双方同意，中国出入境检验检疫局颁发的质量/数量证书应为终局裁决，对双方都有约束力。
