Now, both Party A and Party B agree as follows:

Party B funds and delegates party A to invest in equity and direct investments on its behalf. The period of delegation is months. The period is from 2010to 2011.

On due date (or the maturity deadline), party A is obliged to return the principal to party B. Also, Party A must pay the investment profits to Party B as agreed.

If Party A, due to its investment failure or other force majeure, results in Party A being unable to pay the investment profits to Party B, then Party A should return Party B the full principal amount invested.

Otherwise, Party B has the power to take legal action, claiming the full amount invested.

This agreement applies the Hong Kong Special Administration Region law.

This agreement is in duplicate, with each party holding one copy.
