(hereinafter referred to as “Party A”) of the one part;

(hereinafter referred to as “Party B”) of the other part;

IT IS HEREBY AGREED AS FOLLOWS:

SECTION 1: AGREEMENT

A. Party A entrusts Party B as a consultant.

B. Party B serves as a consultant to provide consulting services to Party A.

C. Services include but not limited to, investigating the XXXXXX market; providing

detailed investigation reports to Party A.

D. Service period: July 2020 --- December 2020

SECTION 2: ROLES OF EACH PARTY

第二节:各方角色

A. Party A shall provide Party B with clear investigation requirements.

甲方应向乙方提供明确的调查要求。

B. Party B shall conduct a detailed investigation of the target market and issue an investigation report in accordance with Party A’s requirements.

乙方应根据甲方的要求对目标市场进行详细调查并出具调查报告。

SECTION 3: CONFIDENTIALITY

第三节:保密

From time to time prior to and during the term of this Agreement, either Party (“disclosing Party”) has disclosed or may disclose to the other Party (“receiving Party”) business, marketing, technical, scientific or other information which, at the time of disclosure, is designated as confidential (or like designation), is disclosed in circumstances of confidence, or would be understood by the Parties, exercising reasonable business judgments, to be confidential (“Confidential Information”).

在本协议期限之前和期间，任何一方(“披露方”)向另一方(“接收方”)披露或可能披露在披露时被指定为保密的信息(或类似指定)、双方在做出合理商业判断后理解为保密的商业、营销、技术、科学或其他信息(“保密信息”)。

The receiving Party shall, during the term of this Agreement and for FIVE (5) YEARS thereafter:

接收方应在本协议有效期内及之后的五(5)年内：

A. Maintain the confidentiality of Confidential information;

维护保密信息的保密性；

B. Not to use confidential information for any purpose other than those

specifically set out in this Agreement.

除本协议明确规定的用途外，不得将机密信息用于任何其他目的。

C. Not disclose any such confidential information to any person or entity, except

to its employees or employees of its affiliates, its agents, accountants and

other advisors who need to know such information to perform their

responsibilities and who have signed written confidentiality contracts

containing terms at least as stringent as the terms provided in this Article.

不得向任何个人或实体披露任何此类保密信息，除非其雇员或其附属公司的雇员、其代理人、会计师和其他顾问需要知道此类信息以履行其职责，并签署了书面保密合同，其中的条款至少与本条规定的条款同样严格。

SECTION 4: PUBLIC ANNOUCEMENTS

Neither Party shall make any announcement or disclosure concerning the contents of the Agreement without the other Party’s prior written consent except as may be reasonably required by law.

除法律合理要求外，未经另一方事先书面同意，任何一方不得就本协议的内容作出任何公告或披露。

SECTION5: AMENDMENT OF TERMS

第五节：修正条款

The terms and conditions of this Agreement shall be amended only by mutual written consent between the Parties.

本协议的条款和条件只有在双方书面同意的情况下方可修改。

SECTION 6: NO CONSEQUENTIAL DAMAGES

第六节：无间接损失
