Three-party Agreement

本三方协议（“本三方协议”）由以下各方于2011年月日签订：

THIS THREE-PARTY AGREEMENT (the “Three-party Agreement”) is executed on_________, 2011 by and among: [________________________] (the ”Supplier”), represented by [ ], and

[________________________] (the “Distributor”), represented by [ ], and

[________________________] (the “Commercial Companies”, definitions and names of which shall be referred to the Merchandise Contract), represented by [ ].

在下文中单独称为“一方”，合称为“各方”。

Hereinafter referred to individually as a “Party” and collectively as the “Parties”.

鉴于Whereas 鉴于Whereas 鉴于自供应商与家乐福商业公司首次签订商品合同和/或代销合同的年度（“起始合作年”）起截至本三方协议签署日期的期间，供应商与商业公司签订了有关商业公司向供应商采购商品的起始合作年至【】年商品合同和/或代销合同（以下合称“商品合同”）和/或商品合同的补充协议及其他相关协议（“其他协议”），并且根据商品合同和/或其他协议进行业务往来。目前，【】年度商品合同（编号为：)有效存续并对供应商和商业公司具有约束力。为不断适应市场的需要，供应商与商业公司将不时签署诸如新一年度的商品合同和/或代销合同、促销服务协议、补充协议等有关合同及协议和/或单方承诺（以下合称“不时签署的有关文件”）。

During the period commencing from the year when the Supplier and Carrefour Commercial Companies entered into the first merchandise contract and/or consignment contract (the “Beginning Cooperation Year”) till the date of signature of this Three-party Agreement, the Supplier and Commercial Companies have entered into the merchandise contracts and/or consignment contracts (hereinafter collectively as the “Merchandise Contract”) and/or Supplementary Agreements to the Merchandise Contract and such other relevant agreements (hereinafter “Other Agreements”) for each year from the Beginning Cooperation Year to year [ ], pursuant to which the Supplier has been conducting business with Commercial Companies. At present, the merchandise contract for year [ ] (No.________________________) is the one existing and validly binding upon the Supplier and the Commercial Companies. In order to adapt to the demands of the market, the Supplier and the Commercial Companies will from time to time execute such contracts and agreements as the new merchandise contracts and/or consignment contracts for preceding years, service agreements for development of sales, supplementary agreements, etc. and/or unilateral undertakings (hereinafter collectively as “Relevant Documents Executed From Time To Time”); 商品合同的宗旨是规定供应商和商业公司之间有关如下事项的商业关系的条款和条件：—供应商向商业公司供货；和

—商业公司向供应商提供特定服务，以促进和增强供应商货物在商业公司经营的零售渠道的销售。

the purpose of the Merchandise Contract is to define the terms and conditions of the commercial relationship between the Supplier and the Commercial Companies with regard to:

-- the supply of certain goods by the Supplier to the Commercial Companies; and

-- the specific services offered by the Commercial Companies to the Supplier in order to promote and enhance the sale of the Suppliers’ goods in the retail outlet(s) operated by the Commercial Companies.
