Land Subdivision Contract.

This Contract is made and entered into this [Date] by and between [Name of Developer], a [State] corporation with its principal place of business at [Address], hereinafter referred to as "Developer," and [Name of Purchaser], a [State] resident residing at [Address], hereinafter

referred to as "Purchaser."

RECITALS.

WHEREAS, Developer owns certain real property located in [County], [State], more particularly described in

Exhibit A attached hereto and incorporated herein by reference (the "Property");

WHEREAS, Purchaser desires to purchase a portion of the

Property for the purpose of developing a residential subdivision (the "Subdivision");

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the parties hereto agree as follows:

ARTICLE I. SALE OF PROPERTY.

1.1 Developer hereby sells and conveys to Purchaser, and Purchaser hereby purchases from Developer, that certain portion of the Property more particularly described in Exhibit B attached hereto and incorporated herein by reference (the "Purchased Property").

1.2 The purchase price for the Purchased Property shall be [Amount] (the "Purchase Price"), payable as follows:

(a) A deposit of [Amount] (the "Deposit") shall be paid by Purchaser to Developer upon execution of this Contract.

(b) The balance of the Purchase Price shall be paid by

Purchaser to Developer at closing, which shall occur on or before [Date].

ARTICLE II. CONDITIONS OF SALE.

2.1 The sale of the Purchased Property is subject to the following conditions:

(a) Purchaser's obtaining all necessary permits and approvals from [City/County] for the development of the Subdivision.

(b) Purchaser's compliance with all applicable laws, ordinances, and regulations.

(c) Developer's approval of Purchaser's plans for the Subdivision.

2.2 If any of the conditions set forth in this Article II are not satisfied within [Number] days of the date of this Contract, either party may terminate this Contract by written notice to the other party.

ARTICLE III. EASEMENTS AND RESTRICTIONS.

3.1 Purchaser shall grant to Developer a perpetual easement for the installation and maintenance of utilities on and across the Purchased Property.

3.2 Purchaser shall comply with the following restrictions on the use of the Purchased Property:

(a) The Purchased Property shall be used solely for residential purposes.

(b) No more than one single-family dwelling shall be constructed on each lot within the Subdivision.

(c) All dwellings constructed on the Purchased Property shall be in accordance with the architectural guidelines approved by Developer.

ARTICLE IV. CLOSING.
